Terms of Service
These Terms of Service (“the Terms”) set out the conditions governing use of services (“the Services”) provided by Coocom Co., Ltd. (“the Company”), through this website (“the Site”). Registered travelers (“Travelers”) must use the Services in accordance with these Terms.
Article 1. Scope
1. The Terms apply to all relationships between Travelers and the Company relating to use of the Services.
2. In addition to the Terms, the Company may establish separate rules, guidelines, and other provisions regarding use of the Services (“Individual Provisions”). Regardless of their title, all Individual Provisions shall be understood to form part of the Terms.
3. Should any inconsistency arise between the Terms and any Individual Provisions in the preceding paragraph, the Individual Provisions take precedence unless otherwise stated.
Article 2. Content and Role of the Services
1. The Site is a matching platform connecting national government licensed guide-interpreters wishing to provide guide services (“Guides”) with Travelers.
2. The Company provides matching opportunities through the Site but is not a party to any agreement for guide services (“Guide Agreement”) entered into between a Guide and a Traveler.
3. Guide Agreements are concluded directly between Travelers and Guides. However, to facilitate smooth service, the Company may establish common rules governing Guide Agreements (“Guide Agreement Terms”) within the Terms.
Article 3. User Registration
1. User registration is completed when an applicant agrees to the Terms, submits an application using the method specified by the Company, and is then approved by the Company.
2. The Company may refuse registration if it determines that the applicant falls under any of the categories listed below. The Company is not obligated to disclose the reason for refusal.
(1) Providing false information during registration
(2) Having previously violated the Terms
(3) Any other case in which the Company determines registration to be inappropriate
Article 4. Management of Traveler IDs and Passwords
1. Travelers are responsible for properly managing their IDs and passwords for the Services.
2. Travelers may not under any circumstances transfer, lend, or share their IDs or passwords with any third party. The Company will treat any login using a registered combination of ID and password as use by the registered Traveler.
3. The Company is not liable for any damage arising from unauthorized use of a Traveler ID or password by a third party.
Article 5. Reservations and Entry into Agreements
1. A Guide Agreement is established when a Traveler submits a reservation request to a specific Guide through the Site and the Guide accepts the request.
2. Travelers and Guides agree to comply with the following Guide Agreement Terms.
(1) Content and fees: The content and fees stated in the applicable sales plan apply.
(2) Settlement of additional expenses: Any additional charges arising from services requested after the agreement is formed as well as expenses paid initially by the Guide (transportation, admission fees, accommodation, etc.) must generally be paid directly to the Guide in cash (Japanese yen) upon conclusion of the guide services.
(3) Right to terminate: If a Traveler engages in conduct contrary to public order or morals, violates laws or regulations, or behaves in a way that threatens the Guide’s physical or mental well-being, the Guide may immediately terminate the agreement and discontinue service. In such cases, the Traveler is not entitled to a refund of the guide fee.
(4) Impossibility of performance: Even if service cannot be provided for reasons beyond the Guide’s control (including natural disasters or transportation disruptions), the Traveler in general remains responsible for payment of the guide fee.
Article 6. Payment of Guide Fees
1. Guide fees must be paid by credit card through the Site.
2. Travelers must complete payment by the deadline specified by the Company. If payment cannot be confirmed by the deadline, the reservation will be automatically canceled.
Article 7. Cancellation
1. If a Traveler cancels a reservation for personal reasons, a cancellation fee will apply in accordance with the separately established Cancellation Policy.
2. If no response is received from the Guide within the period specified by the Company after a reservation request is submitted, the reservation request will be canceled.
3. If a payment issue arises after a reservation request is submitted and payment is not completed by the deadline specified by the Company, the purchase will be canceled.
4. If a refund is required, actual costs associated with the refund, including bank transfer fees, may be borne by the Traveler.
Article 8. Prohibited Conduct
Travelers may not engage in any of the following acts when using the Services:
(1) Acts that violate laws, regulations, or public order and morals
(2) Acts related to criminal activity
(3) Acts that infringe copyrights, trademarks, or other intellectual property rights relating to the Services or their content
(4) Acts that destroy or interfere with the functions of the Company’s, other Travelers’, or third parties’ servers or networks
(5) Commercial use of information obtained through the Services
(6) Acts that may interfere with operation of the Services
(7) Unauthorized access or attempts to gain unauthorized access
(8) Collection or storage of personal information relating to other Travelers
(9) Use of the Services for improper purposes
(10) Acts that cause disadvantage, damage, or discomfort to other Travelers or third parties
(11) Impersonation of another Traveler
(12) Advertising, promotional, solicitation, or commercial activities on the Services without authorization from the Company
(13) Acts intended to facilitate encounters with unknown members of the opposite sex
(14) Directly or indirectly providing benefits to anti-social forces in connection with the Services
(15) Any other conduct the Company deems inappropriate
Article 9. Suspension or Interruption of the Services
1. The Company may suspend or interrupt all or part of the Services without prior notice to Travelers if it determines that any of the following circumstances apply:
(1) Maintenance inspections or updates of systems relating to the Services
(2) Difficulty providing the Services due to force majeure events such as earthquakes, lightning, fire, power outages, or natural disasters
(3) System or communication failures caused by accidents
(4) Any other situation in which the Company determines that continued provision of the Services would be difficult
2. The Company is not liable for any disadvantage or damage suffered by Travelers or third parties resulting from suspension or interruption of the Services.
Article 10. Restrictions on Use and Deregistration
1. The Company may, without prior notice, restrict a Traveler's use of all or part of the Services or cancel the Traveler's registration if any of the following applies:
(1) Violation of any provision of the Terms
(2) Discovery of false information in registration details
(3) Failure to fulfill payment obligations such as fees
(4) Failure to respond to communications from the Company for a certain period of time
(5) Failure to use the Services for a specified period of time following the last use
(6) Any other case in which the Company determines continued use of the Services to be inappropriate
2. The Company is not liable for any damage incurred by Travelers as a result of measures taken under this Article.
Article 11. Withdrawal
Travelers may withdraw from the Services by following the procedure specified by the Company.
Article 12. Disclaimer and Limitation of Liability
1. The Company makes no express or implied warranty that the Services are free from factual or legal defects, including defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, or infringement of rights.
2. The Company is not liable for any damage arising from use of the Services. However, this disclaimer does not apply where the agreement between the Company and the Traveler regarding the Services (including the Terms) constitutes a consumer contract under the Consumer Contract Act.
3. Even in cases where the exception described in the preceding paragraph applies, the Company is not liable for damages resulting from the Company’s non-performance or tort due to negligence (excluding gross negligence) in cases arising from special circumstances, including cases where the Company or Traveler foresaw or could have foreseen the occurrence of the damage. In addition, compensation for damages caused by the Company’s negligence (excluding gross negligence) is limited to the amount of usage fees received from the Traveler during the month in which the damage occurred.
4. The Company is not liable for any transactions, communications, disputes, or other matters arising among Travelers or between Travelers and third parties in connection with the Services.
Article 13. Changes to the Services
The Company may change the content of the Services or discontinue provision of the Services without prior notice to Travelers and is not liable for any resulting damage.
Article 14. Amendments to the Terms
The Company may amend the Terms at any time when it considers such amendments necessary without prior notice to Travelers. Continued use of the Services after amendments take effect constitutes acceptance of the revised Terms.
Article 15. Handling of Personal Information
The Company handles personal information obtained through the Services in accordance with its Privacy Policy.
Article 16. Notices and Communications
Notices and communications between Travelers and the Company will be made using methods specified by the Company. Unless a Traveler submits updated contact information in accordance with procedures specified separately by the Company, the Company will treat the currently registered contact information as valid, and notices or communications sent to that contact information will be deemed to have been received at the time of transmission.
Article 17. Prohibition on Assignment of Rights and Obligations
Travelers may not assign, transfer, or pledge as security their contractual status under the user agreement or any rights or obligations under the Terms to any third party without the Company’s prior written consent.
Article 18. Governing Law and Jurisdiction
1. The Terms are governed by, and construed in accordance with, the laws of Japan.
2. Any dispute relating to the Services will be subject to the exclusive jurisdiction of the court with jurisdiction over the location of the Company’s head office.。
